End User License Agreement
These are the terms for using Tax Practice CRM, the Windows desktop software written and owned by White Magnolia Advisory. If your firm has been given a licensed copy, this page is the agreement that governs it.

This is a licence, not a sale
White Magnolia Advisory grants your firm permission to use this software. It does not sell you the software itself. We keep ownership of the program, its source code, its design, and its name. Nothing here transfers that ownership, and no right is granted beyond what this page states.
Who may use it
The licence covers the licensed accounting firm and the people who work for it, installed on computers the firm owns or controls. It does not extend to the firm's clients, to contractors outside the firm's supervision, or to anyone else.
What the licensed firm is responsible for
The software stores its data on your computers. That means the data is yours to look after. You are responsible for your own client information, your own backups, and the security of the machines the software runs on — including the master password that protects the encrypted fields. If that password is lost, those fields cannot be recovered by us or by anyone else. That is a deliberate property of the design, not a defect.
You are also responsible for your own QuickBooks Online account and credentials, and for what is done with the connection the software makes to it.
What is not allowed
You may not resell the software, sublicense it, or redistribute it — whole or in part, for money or for free. You may not decompile, disassemble, or otherwise reverse-engineer it, or attempt to derive its source code. You may not remove or alter any notice of ownership inside it.
Provided as-is
The software is provided as-is. We do not warrant that it is free of errors, that it will run without interruption, or that it will suit a purpose you have in mind. We built it for our own practice and we use it daily, but that is not the same as a guarantee. To the extent the law allows, all implied warranties are disclaimed.
What this software is not
This is a record-keeping and workflow tool. It does not prepare tax returns. It does not calculate tax, and it does not give tax advice. It does not check your work, and it is no substitute for professional judgement. Every conclusion reached with its help remains the conclusion of the professional who signed it.
Limitation of liability
To the fullest extent permitted by law, White Magnolia Advisory is not liable for indirect, incidental, special, or consequential losses arising from your use of the software — including lost profits, lost data, lost time, or penalties assessed against you or your clients. Where liability cannot be excluded, it is limited to the amount your firm paid for the licence in the twelve months before the claim arose, or one hundred United States dollars, whichever is greater.
Your regulatory obligations remain yours
Using this software does not change what the rules require of you. Your firm remains responsible for its own professional and regulatory obligations, including the confidentiality of taxpayer information and any federal or state requirements that apply to disclosing or using it. If you are unsure whether a particular use of client data is permitted, get that reviewed before you rely on the software to do it.
If the licence ends
The licence ends if these terms are broken, and you must then stop using the software and remove it from your computers. Your data stays with you. It was always stored on your own machines, and nothing in the ending of this licence gives us any claim to it or any means of reaching it.
Governing law
This agreement is governed by the laws of the State of Missouri, United States, without regard to its conflict-of-laws rules. Any dispute belongs in the state or federal courts serving Clinton County, Missouri.
